Latent Earth

These Terms of Service (“Terms”) govern access to and use of the Latent Earth website, APIs, software, and related services (collectively, the “Services”), provided under the Latent Earth brand (“Latent Earth,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
1. Eligibility and Business Use
The Services are provided solely for business, professional, and commercial use.
By using the Services, you represent and warrant that:
- You are at least 18 years old
- You have the legal authority to bind yourself or the entity you represent
- You are acting on behalf of a business or professional activity
- You are not using the Services for personal, household, or consumer purposes
The Services are not intended for consumer use.
2. Services
Latent Earth provides a geospatial embeddings API that transforms geographic coordinates into machine-learned vector representations.
The Services generate statistical and probabilistic outputs that may change over time and are not factual determinations.
3. API Access, Accounts, and Restrictions
You are responsible for safeguarding your account credentials and API keys and for all activity conducted through your account.
You must not, directly or indirectly:
- Reverse engineer, decompile, or attempt to reconstruct models or embeddings
- Use the Services to develop or train competing products or services
- Resell, sublicense, or distribute embeddings except as part of your own products or services
- Circumvent usage limits, access controls, or security measures
- Use the Services for unlawful or harmful purposes
We may enforce rate limits, usage caps, or technical restrictions at our discretion.
4. Fees and Billing
Certain features require payment based on usage or selected plans.
All fees are non-refundable except where required by applicable law. Failure to pay may result in suspension or termination of access.
5. Intellectual Property
Latent Earth retains all rights, title, and interest in the Services, including all models, embeddings, algorithms, and related intellectual property.
You retain ownership of data you submit. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use Service outputs for your internal business purposes and as incorporated into your own products or services.
6. Machine Learning Disclaimer
The Services produce statistical and probabilistic outputs that may contain inaccuracies or errors. Latent Earth does not guarantee accuracy, completeness, or suitability for any purpose.
You are solely responsible for validating outputs before use.
The Services must not be used as the sole basis for medical, legal, financial, safety-critical, or regulatory decisions.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATENT EARTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
LATENT EARTH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.
LATENT EARTH’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO LATENT EARTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless Latent Earth from claims arising out of your use of the Services, your products or services, or your violation of these Terms or applicable law.
10. Class-Action Waiver
To the maximum extent permitted by law, disputes must be brought on an individual basis only. You waive any right to participate in class, collective, or representative actions against Latent Earth.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
12. Changes
Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
